【MTR Metaverse Generative AI Train Competition】Campaign (”the Campaign”)

The Campaign is organized by MTR Corporation Limited (“MTR”). Your participation in the Campaign constitutes your agreement to comply with and be bound by the terms and conditions below.

Specific Terms and Conditions

  1. The Campaign period is from 11 Sep 2023 (12:00) to 30 September 2023 (23:59) based on Hong Kong Time inclusively (“the Campaign Period”). Submissions received outside the Campaign period will not be considered.

  2. During the Campaign Period, any customers, not excluding MTR Staff, can participate (“Participants”) in the Campaign by clicking the Campaign’s “Join Now” button on the MTR Web3 Website ( )(“the Website”) and submitting an AI-generated art image and text descriptions (“Competition Entry”) according to the instructions, as well as the Terms and Conditions given on the Website.

  3. Each person can only participate in this Campaign once by making one submission of one Competition Entry with a valid email address and MTR Mobile registration number (optional input by Participants); and each email address and MTR Mobile registration number can be used to submit one Competition Entry once only. The Competition Entry cannot be altered or canceled once submitted. During the Campaign Period, the Participants can check their Competition Entry for reference via the “Check My Entry” button on the Website.

  4. The Campaign utilizes the Stable Diffusion text-to-image model for the Participants to create Generative AI art images on the Website. The images generated are resulted from a combination of factors including but not limited to the Stable Diffusion’s training model, Stable Diffusion’s training data and the prompts input by the Participants at the time generated. MTR shall not bear any responsibility and liabilities whatsoever arising from or in connection with the Stable Diffusion and the Generative AI and/or their technologies, including but not limited to copyright and control of contents, for any images, including but not limited to any Competition Entries, generated on the Website.

  5. All Campaign Entries will be assessed and evaluated based on criteria, encompassing, creativity and originality, theme relevance and aesthetics as MTR may at its absolute discretion consider fit and appropriate. A panel of judges appointed by MTR will conduct the assessment and evaluation for awarding prizes to selected Participants; and their decisions shall be final and binding. Campaign Entries will be anonymously reviewed to maintain impartiality.

  6. Awards and Prizes:

    1. The Campaign encompasses a range of prize categories. It includes four main awards namely (from the highest rank) the “Champion” (one winner), “1st Runner Up” (one winner), and “2nd Runner Up” (one winner) (collectively the “Top 3 Winners”), “Merit Awards” (fifty winners). The main awards will be decided based on the competition judging criteria. Additionally, there are two side awards, namely “Early Bird Participation Awards” (two hundred winners) and “MTR Mobile Registered Users Special Awards” (ten thousand winners). Early Bird Participation Awards will be granted to the first 200 Participants successfully submit the Competition Entry. MTR Mobile Registered Users Special Award will be granted to the first 10,000 MTR Mobile Registered Users who successfully submit the Competition Entry.

    2. Each Participant is eligible to win one single prize in the four main awards. Participants may also have the chance to win the Early Bird Participation Award and MTR Mobile Registered Users Special Award if they meet the winning criteria.

    3. The depictions of prizes and their pictures are for reference purposes only, and the actual prizes shall take precedence and prevail. Details of the prizes are available on the Website. MTR reserves the right to make any change to any of the prizes without any prior notice and its decision regarding the prizes shall be final and binding.

    4. Prize Collection Procedures for the Top 3 Winners: The Top 3 Winners will be notified through the email address provided during the Campaign; and the winners must follow the steps provided in the email sent by MTR and provide information within the designated period as requested for claiming and arranging collection of their respective prizes. If the winner is not able to redeem the prize in person, please delegate to others to redeem by filling in the delegation from within the designated period. The winner or delegate agrees the photos and videos taken in redemption can be used for this promotional purpose in any channels and media by MTR without paying any monetary reward.

    5. Prize Redemption for Merit and Early Bird Participation Awards: Winners of the Merit Award or Early Bird Participation Award will be furnished with a comprehensive email containing detailed instructions for redeeming their respective prizes within October 2023. Winners are obliged to personally redeem their prizes by following the instructions outlined in the email.

    6. Prize Fulfillment for MTR Mobile Registered Users Special Award: Winners of the MTR Mobile Registered Users Special Award will automatically receive the prize (i.e., 1000 MTR Points) in their registered MTR Mobile account on 6 October 2023.

    7. Participants must ensure the accuracy and completeness of all information provided to MTR. MTR shall not bear any responsibility and liability and re-issuance or re-delivery of the prize will not be arranged arising from or in connection with any inaccurate or incomplete information provided by Participants.

    8. In the event that a winner fails to respond or provide any information, as requested or fails or neglects to claim or collect the prize before the stipulated deadline set by MTR, his/her right to the prize shall then be forfeited. Late attempts to claim or collect the prize will not be entertained. Winners shall have no claim or objection for any form of compensation arising therefrom.

    9. The prizes cannot be exchanged for cash or other awards and are non-transferable nor refundable.

  7. No political, pornographic, violent, offensive, obscene, indecent or other illegal or inappropriate content is allowed in this Campaign including but not limited to the Campaign Entries or other images and texts. MTR shall have absolute rights and powers to reject or disallow Campaign Entries or other images and texts with any of such contents and disqualify the Participant from participating in the Campaign and/or receiving any awards without any notice.

  8. MTR shall have all necessary rights to utilize the submitted Campaign Entries for any purposes, including but not limited to the right and authority to modify, translate, edit, use, replicate, or distribute the contents of any of the Campaign Entries in whole or in part. Each Participant agrees to grant certain rights to MTR, including but not limited to a worldwide, non-exclusive, royalty-free and non-transferable licence and perpetual right, for MTR to keep a copy of each Campaign Entry and use, produce and show it for such purposes.

  9. Each Participant agrees and warrants that:-

    1. Each Participant owns and/or has the rights to use, produce and submit the Campaign Entry and MTR’s subsequent use and has full power to enter into this agreement and to give the warranties and indemnities contained herein;

    2. Any material used by the Participant for the Campaign shall be the Participant’s own original work or materials that the Participant has legitimate authority to use without infringing any rights

    3. The Participant’s Campaign Entry and his/her agreement to these terms and conditions do not infringe the copyright or any other rights of any person and does not contain anything of an obscene or defamatory nature;

    4. MTR shall not be responsible whether directly or indirectly for any liability arising whatsoever or howsoever from any violation of any intellectual property laws. Each Participant agrees and undertakes to accept and be responsible for all such liability arising therefrom;

    5. Each Participant shall keep MTR and its subsidiaries, associates, affiliates, joint ventures, other organisations in which MTR has an interest, their respective officers, directors, agents and employees fully indemnified against all actions, claims, proceedings, losses, liabilities, damages (including any damages or compensation paid on the advice of its legal advisors to compromise or settle any claim), demands, costs and expenses (including all legal fees), incurred or suffered by any of them in connection with or arising from any breach of any of these terms and conditions or the above warranties or out of any claim by a third party based on any facts which if substantiated would constituted such a breach.

  10. The data submitted by the Participants is based on MTR’s server records. In case of any dispute, MTR’s records should prevail.

  11. The participation and completion of the program depend on the type of telecommunications device used and network performance. MTR does not guarantee smooth operation of the websites or applications. MTR will not bear any legal responsibility if the submitted entry is lost, delayed / unreceivable or unable to be received due to system update or maintenance, model, network, technology, hacking activities, inability or delay to participate in the Campaign, and/ or any reason of force majeure. awards will not be reissued under any circumstances.

General terms and conditions

  1. MTR reserves the right to launch, change, suspend, cancel or terminate this Campaign or any part thereof (including but not limited to program format, awards, etc.) at its sole discretion at any time without prior notice.
  2. If MTR believes that there is any fraud or abuse in connection with this Campaign, MTR reserves the right to disqualify the Participant(s) and forfeit any entitlement under the Campaign including the Prizes without prior notice.
  3. MTR reserves the right to amend these terms and conditions at its sole discretion at any time without prior notice. Any matters and disputes regarding this Campaign shall be subject to the final and binding decision of MTR.
  4. MTR or its affiliates make no representations or warranties of any kind, express or implied. To the fullest extent permitted by law, MTR and its affiliates disclaim any warranty.
  5. To the fullest extent permitted by law, MTR shall not be liable for any direct or indirect loss or damage (including any consequential, special or punitive damages) arising out of or in connection with participation in this Campaign.
  6. Please read the campaign’s Personal Information Collection Statement. This statement describes the information collected and is hereby incorporated into this agreement.
  7. This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
  8. The parties to this agreement do not intend that any term of this agreement should be enforceable, by virtue of the Contracts (Rights of Third Parties) Ordinance of Hong Kong, by any entity or person who is not a party to this agreement.
  9. If there is any discrepancy between the Chinese and English versions of the terms and conditions, the English version shall prevail.
  10. In case of any disputes, MTR reserves the right of final decision which shall be binding.
